1. Acceptance of Terms

These Terms of Service ("Terms", "Terms of Service") govern your relationship with the 7creatives.in website and the 7Creatives Client Portal application (the "Service") operated by 7Creatives ("us", "we", or "our").

Please read these Terms of Service carefully before using our Service. Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, clients, and others who access or use the Service.

By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you may not access the Service.

2. Agency Subscriptions and Service Tiers

7Creatives operates on a recurring, fixed-fee subscription model designed to replace traditional agency retainers and hourly billing. We offer several standardized service tiers (e.g., Foundation, Scale, Dominate) across distinct disciplines including Website & Growth, Paid Marketing, and Design & Video.

  • Continuous Delivery: Unlike project-based contracts, your subscription grants you continuous access to a dedicated Kanban board within the Client Portal. You may populate your backlog with an unlimited number of requests. We will systematically process these requests sequentially, based on the concurrency limit designated by your chosen Service Tier.
  • Tier Limitations: Concurrency limits (e.g., "1 active task at a time" vs. "3 active tasks at a time") strictly dictate our operational bandwidth. We do not guarantee arbitrary deadlines for general tasks, as velocity depends intrinsically on the complexity of the active request in the queue.
  • Upgrades and Downgrades: You may upgrade or downgrade your tier at any time through the Billing module of the Client Portal. Prorated charges or credits will be applied automatically to your next billing cycle.

3. Billing, Payments, and No-Refund Policy

You must provide a valid payment method (credit card, debit card, or verified bank mandate) to secure your subscription. By providing a payment method, you expressly authorize us to charge applicable recurring subscription fees automatically to said payment method at regular intervals (typically monthly) until you effectively cancel your subscription.

No Refunds: Due to the high-quality, labor-intensive nature of custom engineering, creative design, and media buying allocation, 7Creatives maintains a strict "no refunds" policy. Once a billing cycle has commenced and work has been initiated (e.g., an active task is moved from the backlog to "In Progress"), the fees for that specific billing cycle are non-refundable. If you are dissatisfied with the service, your sole recourse is to cancel the subscription to prevent future charges.

Failed Payments: If a recurring payment fails, your active tasks will be suspended, and your access to the Client Portal may be temporarily restricted until the outstanding balance is settled. We reserve the right to permanently terminate accounts that remain in a delinquent state for more than 14 days.

4. Intellectual Property and Asset Ownership

Our relationship regarding Intellectual Property (IP) is structured to ensure you own what you pay for, while we retain the right to showcase our capabilities.

  • Client Ownership: Upon successful delivery and full receipt of associated subscription payments, you possess 100% full commercial rights, title, and interest in and to the final deliverables created specifically for you (e.g., final logo vectors, compiled website source code, ad copy, video exports).
  • Pre-existing Material: 7Creatives retains all rights to any pre-existing code libraries, UI component templates, structural frameworks, and internal tools used to assemble your final product. You are granted a perpetual, non-exclusive, global license to use these underlying elements exclusively within the context of the delivered asset.
  • Portfolio Rights: By default, 7Creatives reserves the non-exclusive right to display the final deliverables, wireframes, and performance case studies in our public portfolios, marketing materials, and social media channels. If you require strict confidentiality, you must sign a Non-Disclosure Agreement (NDA) prior to subscription commencement.

5. Use of Crea AI and Automated Tools

The 7Creatives Client Portal incorporates integrated artificial intelligence capabilities, specifically the proprietary "Crea AI" assistant, powered by underlying large language models and analytical engines.

Limitation of AI Liability: While Crea AI is configured to provide contextual, data-driven insights based on your specific CRM metrics and marketing goals, generative AI is inherently probabilistic. 7Creatives provides the Crea AI tool strictly "as is" and "as available". We do not warrant the absolute accuracy, completeness, or reliability of any copy, strategies, code, or financial projections generated by the AI assistant.

You are solely responsible for reviewing, verifying, and approving any AI-generated content (including ad copy, email drafts, or sales scripts) before deploying it publicly or utilizing it in live commercial operations.

6. Client Responsibilities and Obligations

The speed and quality of our service are directly tied to your participation. You agree to:

  • Provide clear, unambiguous briefs for tasks submitted to the Kanban backlog.
  • Respond to feedback requests, design approvals, or technical blockers in a timely manner. Delays on your end will effectively stall the conveyor belt, reducing the total volume of work we can deliver during your billing cycle.
  • Grant 7Creatives necessary access and administrative privileges to required third-party platforms (e.g., Google Ads Manager, Meta Business Manager, GitHub repositories, WordPress instances, DNS registrars) when requested.
  • Ensure that any assets, copy, images, or databases you provide to us do not infringe upon the copyrights, trademarks, or IP rights of any third party. You agree to indemnify and hold 7Creatives harmless from any litigation or damages resulting from materials you supply.

7. Termination and Account Pause Policies

We aim to offer maximum flexibility. You may terminate or pause your Service at any time via the self-service Billing interface within the Client Portal.

Pausing Service: You may elect to "pause" your subscription if you have a slow month or lack immediate tasks. While paused, you will not be billed for subsequent cycles, and 7Creatives will halt all active development and marketing optimization. Your Client Portal data, CRM leads, codebase states, and Kanban history will be preserved securely for up to 90 days.

Termination by 7Creatives: We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Such reasons may include abusive behavior toward staff, failure to pay undisputed fees, or requests demanding the execution of illegal or highly unethical activities.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or cancel via the Billing dashboard.

8. Limitation of Liability

In no event shall 7Creatives, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of or inability to access or use the Service;
  • Any conduct or content of any third party on the Service;
  • Any content obtained from the Service;
  • Unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

Our absolute maximum liability for any claim arising out of these Terms of Service will not exceed the total amount you paid to 7Creatives in subscription fees during the three (3) months preceding the event giving rise to the claim.

9. Indemnification

You agree to defend, indemnify and hold harmless 7Creatives and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms, or c) Content posted on the Service.

10. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service.

Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be referred to and finally resolved by arbitration in accordance with standard arbitration rules applicable in New Delhi, India.
